14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York without regard to its conflict‑of‑law provisions. Any dispute arising under these Terms will be resolved through binding arbitration in Westchester County, New York, under the Commercial Arbitration Rules of the American Arbitration Association. You waive any right to participate in class‑action proceedings.

15. Severability & Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. No waiver by Prosidio of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

16. Entire Agreement

These Terms and the Privacy Policy constitute the sole and entire agreement between you and Prosidio regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
